ATEN Merges Wellsyn Technology,
Gains IPMI Technology |

TAIPEI, TAIWAN, August 26, 2005 - ATEN International
Co. Ltd., a leading designer, manufacturer
and distributor of advanced connectivity
solutions and Wellsyn Technology Inc, an
IC design company, each held the Board of
Directors' Meeting today and passed the
merger of both companies. ATEN is the surviving
company and Wellsyn Technology is the dissolved
company, as ATEN already owns 100% of Wellsyn
Technology's stocks. The merger will proceed
according to related securities law, and
will become effective on September 26th,
2005. With this merger, ATEN will integrate
Wellsyn Technology's advanced IPMI (Intelligent
Platform Management Interface) technology
and superior R&D, and is expected to
begin providing leading IPMI solutions in
Q3 of 2005.
With the completion of the merger, ATEN
will not only gain Wellsyn Technology's
patent rights, but will also acquire the
entire R&D team and the IPMI core
technology competence. As currently Wellsyn
Technology is a provider of related products,
such as iKVM/IPMI SoC, customized IPMI
solutions and on board solutions to server
companies, etc., thus following the completion
of the merger, ATEN can launch IPMI related
products and create a new profitable sales
growth.

leading IPMI 2.0 technology capability,"

IPMI has the competitive advantage of
cross platform management and the support

merger can assist ATEN in expanding the
future development of our product lines,
increase our technological development
capabilities and further strengthen our
cooperation with companies in different

With the advancement in IT equipment,
cross platform management capabilities
are increasingly becoming the trend of
new product developments. As a result,
Intel, Dell, NEC, HP, and other companies
jointly launched IPMI version 1.0, the
Intelligent Platform Management Interface
standard in 1998. From the IPMI version
1.0 to the version 1.5, and to the version
2.0 in 2004, IPMI is not only being used
by more than 178 companies, but has also
become the basic interface for cross platform
management.
Yu further highlighted that in the new
economy, the important issues that companies
face include having to guarantee the continuous
operations of the application system and
having to significantly lower operational
costs in order to maintain competitive
advantage. As a result, it is inevitable
that cross platform management capability
will become the development trend of the
future. Apart from servers, future IPMI
applications include industrial control
products, network equipments, telecommunication
equipments, storage equipments, laptops,
PDA, etc. This is also one of the reasons
why ATEN believes in the future development
of IPMI.
